In-House Counsel

Responsibilities

• Review, draft, and negotiate commercial agreements including distribution, supply, installation, and software licensing
• Identify and mitigate legal and commercial risks across all agreements
• Develop and standardize contract templates and approval workflows
• Act as a strategic partner to commercial, operations, and management teams
• Provide legal support across multiple U.S. and Canadian entities
• Manage disputes, litigation, and coordination with external counsel
• Support corporate governance, board matters, and statutory filings
• Oversee and coordinate insurance coverage

Requirements

• Juris Doctor (J.D.) degree from an accredited law school
• Active member in good standing with a state bar
• 10–12 years of legal experience
• Experience with commercial contracts in industrial or technology-driven environments
• International experience in the U.S. and Canada
• Strong business acumen and stakeholder management skills

Preferred Qualifications

• Prior in-house counsel experience
• Experience with hardware and software environments
