About the role
Responsibilities
- Develop, maintain, and continuously improve the company’s governance framework, including committees, charters, RACI, and decision logs.
- Manage the end-to-end policy lifecycle, ensuring a central inventory is maintained with clear ownership, version control, and regulatory mapping.
- Maintain a structured regulatory obligations register, linking SAMA requirements to internal policies, controls, and evidence artifacts.
- Coordinate SAMA regulatory engagement, including preparing accurate responses, tracking commitments, and managing deadlines.
- Own the governance process for SAMA observations, including logging, assigning owners, tracking remediation, and ensuring root-cause analysis.
- Act as the governance secretariat for relevant committees, managing agendas, minutes, action tracking, and decision documentation.
- Implement governance gates for high-impact enterprise changes to ensure proper justification and approval.
- Coordinate governance responses to internal audit and compliance reviews, providing necessary documentation and tracking management action plans.
- Drive a culture of awareness and accountability through policy publication standards and stakeholder training.
- Produce governance reporting and management information (MI) for senior stakeholders regarding compliance status and regulatory deadlines.
Requirements
- Bachelor's degree in Business Administration, Law, or a related field.
- 5-8 years of experience in Corporate Governance.
- Proven experience within banking or financial institutions in the Saudi market.
- Strong familiarity with SAMA and CMA regulations, policies, and requirements.
- Deep understanding of corporate governance fundamentals, including Board and committee operations.
- Experience in policy governance, document control, and managing the policy approval lifecycle.
- Strong executive communication skills with the ability to write clear minutes, memos, and Board packs.
- Proficiency in Notion, SharePoint, and MS Office.
- High attention to detail and the ability to handle sensitive information with confidentiality.
