General Counsel

Responsibilities

• Work in parallel with the existing General Counsel to transition into the sole General Counsel role by June 2027
• Prepare, implement, and interpret fund governing documents and manage fund closing processes
• Negotiate investor subscription and side letter documentation
• Draft and negotiate agreements with banks and brokers, including ISDA Master Agreements, CSAs, and Prime Broker Agreements
• Advise senior partners on litigation, regulatory, governance, and transactional matters
• Manage relationships with outside counsel in the US, UK, and Cayman Islands
• Oversee corporate governance for funds, including managing quarterly board of directors meetings
• Manage corporate formation, liquidation, and dissolution for various legal entities
• Collaborate with senior management on insurance, intellectual property, and data privacy
• Partner with the Compliance Department on regulatory examinations, MNPI evaluations, and conflict of interest disclosures

Requirements

• 7-10 years of experience in a hedge fund legal department or hedge fund practice at a law firm
• Detailed knowledge of the Investment Advisers Act of 1940
• Proficiency with the EU Alternative Investment Fund Managers Directive (AIFMD) and MiFID II
• Proficiency with the Investment Company Act of 1940 and the Securities Act of 1933
• Proficiency with Delaware and New York corporate, LLC, and partnership laws
• Strong writing and communication skills
