Director, Legal Counsel, Corporate & Securities

Responsibilities

• Lead preparation of materials for the Board of Directors and its committees
• Manage stockholder consents, notices, and annual stockholder meeting execution
• Advise on company governing and investor documents including charter and bylaws
• Build and scale corporate policies, controls, and processes
• Lead development and review of securities-related disclosures and reporting materials
• Develop disclosure controls, information governance, and communications protocols
• Advise on insider trading policies and equity transaction reporting
• Provide backup support on capital markets transactions including equity and debt offerings
• Serve as a legal advisor to Finance, Accounting, Investor Relations, and HR

Requirements

• Juris Doctor (JD) from an accredited law school
• Active membership in good standing in at least one U.S. state bar
• 4-7 years of corporate and securities experience at a top-tier law firm
• Expertise in board/stockholder governance and securities disclosure
• Working knowledge of capital markets transactions and Rule 144A
• Proficiency with Google Workspace, Microsoft Office, and AI tools

• In-house experience at a technology or high-growth company
