Director, Legal Counsel, Corporate & Securities

Responsibilities

• Lead preparation of materials for the Board of Directors and its committees, including agendas, presentations, and minutes
• Manage stockholder consents, notices, and annual stockholder meeting execution
• Advise on company governing documents such as charters, bylaws, and investor rights agreements
• Lead development and review of securities-related disclosures and regulatory reporting
• Develop disclosure controls, information governance, and communications protocols
• Advise on insider trading policies and equity transaction reporting
• Provide backup support on capital markets transactions, including equity and debt offerings
• Partner with Finance, Accounting, Investor Relations, and HR as a key legal advisor

Requirements

• Juris Doctor (JD) from an accredited law school
• Active membership in good standing in at least one U.S. state bar
• 4-7 years of corporate and securities experience at a top-tier law firm
• Expertise in board/stockholder governance and securities disclosure obligations
• Working knowledge of capital markets transactions (e.g., Rule 144A)
• Proficiency with Google Workspace, Microsoft Office, and AI tools (Claude, Gemini)
