About the role
Responsibilities
- Serve as the primary legal advisor on securities matters, corporate transactions, corporate governance, and continuous disclosure
- Act as Assistant Corporate Secretary to the Board of Directors and its committees
- Manage AMF and TSX filings and all securities reporting
- Prepare schedules, agendas, resolutions, and minutes for the board and committees
- Provide legal advice on corporate and securities law to ensure regulatory compliance
- Support due diligence and the drafting/negotiation of commercial agreements for acquisitions and reorganizations
- Advise senior management on corporate governance best practices
- Mentor and develop junior members of the legal team
Requirements
- Undergraduate degree in law
- Member of the Quebec Bar
- Minimum 10 years of experience in corporate and securities law
- Substantial experience at a publicly traded company or a national law firm
- Excellent knowledge of Canadian securities laws and TSX requirements
- Proficiency in MS Office and collaborative digital tools
- Fluency in French and English
Preferred Qualifications
- Knowledge of Spanish
- Experience with Workiva and Diligent Board software
