Director – Legal Advisor - Capital Markets

Responsibilities

• Lead and execute high-profile debt capital markets transactions across the Asia-Pacific region, including EMTN programmes and standalone bond issuances.
• Provide expert legal advice on securities laws, disclosure standards, and regulatory frameworks across multiple jurisdictions.
• Draft, review, and negotiate comprehensive legal documentation such as offering circulars, prospectuses, and subscription agreements.
• Partner with senior management and investment banking teams to deliver pragmatic, commercially-minded legal solutions.
• Manage and mentor junior legal team members, providing guidance and coaching to support professional growth.
• Monitor evolving regulations and brief senior leadership on significant legislative changes impacting operations.
• Identify and mitigate operational risks while optimizing internal resources to manage external counsel spend.

Requirements

• Qualified lawyer admitted in a common law jurisdiction (e.g., England & Wales, Hong Kong, Singapore, or Australia).
• 10–15 years of proven experience advising on complex capital markets transactions within top-tier law firms or major financial institutions.
• Extensive experience managing cross-border bond issuances in Hong Kong, Singapore, Australia, or similar APAC jurisdictions.
• Deep technical knowledge of listing rules for major exchanges, including HKEX, SGX, or ASX.
• Exceptional drafting and negotiation skills with the ability to lead transaction structuring under tight deadlines.
• Strong stakeholder management skills and the ability to provide practical advice that balances commercial needs with regulatory obligations.
