Director, Digital Assets Legal Counsel

Responsibilities

• Provide legal advice on tokenized cash products, including private treasury funds and money market funds.
• Advise on product structuring regarding the Investment Company Act of 1940 (including Rule 2a-7) and securities laws.
• Support the application of blockchain technology and tokenization to regulated cash products.
• Draft, review, and negotiate agreements with digital asset ecosystem participants and traditional financial institutions.
• Manage and coordinate outside counsel for fund documents, regulatory filings, and legal analyses.
• Draft and maintain SEC filings, disclosure documents, and regulatory communications.
• Collaborate with Compliance and Financial Crime teams on risk identification and policy development.

Requirements

• J.D. degree from a nationally recognized law school.
• At least 8 years of legal experience in a major law firm or a leading digital asset financial services organization.
• Expertise in the Investment Company Act of 1940 and related securities laws.
• Proven experience advising on cash products, such as money market funds or private treasury vehicles.
• Strong understanding of blockchain technology, tokenization, and digital asset market infrastructure.
• Exceptional analytical, written, and verbal communication skills.

Preferred Qualifications

• Familiarity with money services business (MSB) considerations for digital assets or stablecoins.
• Knowledge of evolving U.S. stablecoin regulatory frameworks.
• Experience with collateral, settlement, or trading considerations within the digital asset space.
