About the role

Responsibilities

  • Lead as primary internal counsel on private company fundraising and financing transactions, including term sheet development and negotiating definitive agreements.
  • Partner with Corporate Development and Investor Relations on fundraising strategy, due diligence, and investor governance.
  • Lead end-to-end legal execution of domestic and cross-border M&A, including acquisitions of licensed fintech entities.
  • Advise on secondary sales and private-company liquidity programs for shareholders and employees.
  • Provide expert advice on corporate governance, intragroup structuring, and internal reorganizations.
  • Collaborate with Regulatory, Product, and Risk teams to ensure transactions align with global licensing and regulatory expectations.
  • Manage and direct external counsel across multiple jurisdictions to ensure high-quality, cost-effective legal support.
  • Build scalable transaction processes, playbooks, and templates leveraging LegalTech and AI tools.

Requirements

  • U.S. legal qualification and an active license to practice in at least one U.S. jurisdiction.
  • 10+ years of legal experience in an in-house department or private practice advising on private company financing and M&A.
  • Proven track record of running complex transactions end-to-end.
  • Significant experience drafting and negotiating core transaction documentation (term sheets, purchase agreements, shareholder agreements).
  • Strong working knowledge of U.S. corporate and securities law as applied to private companies.
  • Ability to provide commercially grounded, risk-balanced advice to senior executives and stakeholders.

Preferred Qualifications

  • Experience in high-growth technology, fintech, or payments sectors.
  • Experience with cross-border structures and licensed entities.
  • A mix of top-tier law firm and in-house experience, ideally in a late-stage growth or pre-IPO company.
  • Experience designing private-company secondary programs or structured liquidity solutions.
  • Experience building or enhancing legal operations and transaction-related playbooks.
