Director, Business & Legal Affairs - Corporate M&A

Responsibilities

• Provide legal support for global M&A, strategic investments, joint ventures, and divestitures.
• Draft, negotiate, and finalize transactional agreements including NDAs, term sheets, joint venture agreements, and asset purchase agreements.
• Drive and manage the due diligence process, including risk evaluation and supervision of outside counsel.
• Lead cross-functional workstreams in collaboration with Finance, Strategy, Tax, HR, and Operations.
• Manage general corporate advice regarding governance and existing transactions.
• Enhance deal processes by developing scalable procedures and improving execution workflows.

Requirements

• Minimum of 3 years of relevant experience at a major law firm.
• Significant responsibility in supporting complex M&A transactions.
• JD from a reputable law school.
• Admitted to the New York Bar and in good standing.
• Exceptional negotiating and drafting skills with high attention to detail.
• Strong analytical and communication skills with the ability to articulate complex legal concepts.
• Ability to manage competing priorities in a fast-paced environment.
