About the role
Responsibilities
- Proactively support operational functions including Research, Clinical Development, Medical Affairs, and Regulatory teams
- Collaborate on strategic initiatives and Business Development matters
- Draft, review, and negotiate confidentiality, consulting, services, research, and clinical trial agreements
- Review Exchange Act filings including Forms 10-K, 10-Q, and 8-K
- Assist with corporate governance and stock plan administration
- Lead compliance and privacy programs and design employee training
- Oversee corporate minute books, records, and contract databases
- Manage external legal spend and collaborate with outside counsel
- Manage and develop Legal team members
Requirements
- Law school graduate and Bar member
- 15+ years post-Bar experience in pharmaceutical/biotech or top-tier law firms
- Deep knowledge of SEC and Nasdaq public company reporting obligations
- Proven ability to interact effectively with senior management
- Excellent legal, business, analytical, and presentation skills
- Strong written and verbal communication skills
Preferred Qualifications
- Experience with an expanding organization during a growth phase
- Entrepreneurial spirit and self-starter mindset
- Ability to explain complex concepts in simple terms
