About the role
Responsibilities
- Review and interpret transaction documents, including financing agreements, security documents, and intercreditor arrangements, to identify key credit risks and mitigants.
- Analyze structural protections such as cash waterfall mechanics, reserve accounts, and distribution tests.
- Evaluate construction and completion frameworks, including EPC terms, performance security, and guarantees.
- Assess operating and revenue risk allocation, including PPA/offtake terms and merchant exposure.
- Produce analytical deliverables such as deal term sheets, key terms trackers, and issue-spotting memos.
- Participate in meetings with project sponsors, developers, and legal stakeholders.
- Educate analytical colleagues on documentation strengths, weaknesses, and areas of concern.
- Participate and vote in credit committees for infrastructure and project finance transactions.
Requirements
- 4–7+ years of relevant experience as an attorney or senior paralegal.
- Deep familiarity with project finance documentation and structures (e.g., credit agreements, security packages, and step-in frameworks).
- Background in project finance, infrastructure finance, structured debt, or capital markets.
- Strong analytical, quantitative, and organizational skills.
- Excellent written and verbal communication skills.
- Ability to work effectively in a team-oriented, results-driven environment.
Preferred Qualifications
- Experience with digital infrastructure, P3/PPP concession structures, or hybrid revenue frameworks.
- Capital markets or credit analysis experience.
- Proven ability to execute research projects from idea generation through to presentation.
- Strong interest in capital structures, creditor protections, and recovery outcomes.
