Counsel - Commercial Law

Responsibilities

• Draft, review, and negotiate a wide variety of commercial and strategic agreements, including procurement, OEM, supply, sales, distribution, and research collaborations.
• Counsel the Diagnostics business lines and senior management on healthcare regulations, anti-kickback laws, fraud and abuse, and data privacy.
• Collaborate with cross-functional departments such as R&D, supply chain, regulatory affairs, and finance to analyze business and legal imperatives.
• Partner with product teams to understand the legal implications of new medical devices, software, and services.
• Provide thought leadership on emerging issues, including the responsible use of data and AI technology.
• Develop creative and compliant solutions to resolve complex business challenges and mitigate risk.

Requirements

• U.S. law degree (J.D.) or U.S. LLM from a respected institution.
• Minimum of 6 years of commercial and corporate law experience.
• Admitted to practice law in the State of New York (or ability to promptly obtain a NY In-House Counsel license).
• Strong knowledge of U.S. FDA regulations and anti-kickback laws.
• Experience with fraud and abuse statutes, software licensing, and privacy laws applicable to medical device manufacturers.

Preferred Qualifications

• In-house experience with a respected healthcare company or within a highly regulated industry.
• Experience working within a global, matrixed organization.
• Proven ability to lead multi-disciplinary engagements from conceptual advice through to closing and conflict resolution.
