Corporate Structures Advisor

Responsibilities

• Advise clients on company formation, restructuring, mergers, acquisitions, and liquidation processes.
• Provide guidance on selecting suitable legal structures, including Free Zone, Mainland, Offshore, DIFC, and ADGM.
• Draft, review, and oversee corporate documents such as MOA, AOA, shareholder agreements, and board resolutions.
• Ensure compliance with relevant legal, regulatory, and tax frameworks.
• Liaise with government authorities, notaries, and regulatory bodies to facilitate approvals.
• Conduct research on corporate governance practices and international structuring options.
• Support clients with compliance audits, due diligence, and risk assessments.
• Collaborate with legal, tax, and finance teams to deliver end-to-end structuring solutions.

Requirements

• Bachelor's degree in a related field; MBA is preferred.
• Minimum 3+ years of experience in corporate structuring, governance, or advisory roles.
• Proven expertise in UAE company formation, specifically within DIFC and ADGM frameworks.
• Hands-on experience drafting and managing corporate documents (MOA, AOA, resolutions).
• Strong understanding of financial structuring and its role in corporate strategy.
• Proficiency in MS Office Suite and corporate compliance tools.
• Excellent research, analytical, and drafting skills.

Preferred Qualifications

• Experience in international jurisdiction structuring.
• Strong background in business development support for structural advisory services.
