About the role
Responsibilities
- Support corporate transactions including mergers and acquisitions, venture capital financing, and restructurings
- Prepare and manage organizational and governance documents for corporations, LLCs, and partnerships
- Assist with entity maintenance, including qualifications, mergers, conversions, and ongoing compliance across multiple jurisdictions
- Maintain corporate records, minute books, stock ledgers, and governance databases
- Utilize capitalization management platforms like CARTA to maintain cap tables and equity ownership records
- Assist with due diligence, including document review and virtual data room organization
- Prepare and file SEC documents via EDGAR (Forms D, 3, 4, 5, 8-K)
- Conduct blue sky research and coordinate federal and state securities filings
- Prepare and file UCC financing statements and conduct necessary lien or judgment searches
Requirements
- Bachelor's degree required
- Paralegal certificate required (preferably from an ABA-approved or accredited program)
- 4–7 years of corporate and securities paralegal experience, ideally within a large law firm or in-house legal department
- Proficiency with EDGAR and capitalization management platforms such as CARTA
- Advanced proficiency in Microsoft Office Suite and Adobe Acrobat
- Strong knowledge of corporate governance, transactional processes, and securities regulations
