Corporate Securities Paralegal

Responsibilities

• Support the preparation, drafting, and coordination of SEC filings, including Forms 10-K, 10-Q, 8-K, and proxy statements.
• Manage the end-to-end filing process, including document compilation, version control, tie-outs, and exhibit coordination.
• Prepare and coordinate Board of Directors and committee meeting materials, including notices, agendas, resolutions, and minutes.
• Support governance and compliance activities for domestic and international entities, including annual reports and corporate actions.
• Administer insider trading policy onboarding processes for officers, directors, and employees.
• Leverage AI tools and technology to improve efficiency in drafting, checklist management, and issue tracking.

Requirements

• Bachelor’s degree and/or paralegal certificate.
• 7+ years of experience supporting public company corporate governance or securities reporting in a regulated environment.
• Demonstrated experience with SEC filings (proxy, periodic reports) and Board-level meeting coordination.
• Advanced proficiency with Microsoft Office (Word, Excel, PowerPoint) and document collaboration platforms.
• Proficiency in Workiva and Intelligize.
• Strong attention to detail and the ability to manage complex, high-visibility processes.
