Corporate Paralegal

Responsibilities

• Support general corporate governance matters, including preparing powers of attorney, officer’s certificates, resolutions, consents, agendas, and minutes.
• Manage legal entity maintenance and administration, including annual filings, state registrations, and intercompany agreements.
• Maintain corporate records, databases, and organizational charts to ensure accurate entity information.
• Assist with strategic projects and corporate transactions, such as mergers and acquisitions, including due diligence and document organization.
• Coordinate with internal stakeholders, outside counsel, and third-party service providers on corporate matters.
• Support cross-functional teams by tracking deadlines and handling legal aspects of compliance, audit, tax, and KYC requests.
• Identify and implement process improvements to enhance legal team efficiency and recordkeeping.

Requirements

• 5+ years of relevant corporate paralegal experience in an in-house legal department, law firm, or a combination of both.
• Strong experience supporting corporate governance and legal entity management.
• Proven experience maintaining corporate records, minute books, and entity databases.
• Proficiency with Microsoft Office and Adobe Acrobat.
• Excellent organizational skills and keen attention to detail.
• Strong written and verbal communication skills.

Preferred Qualifications

• Experience in an in-house role at a company with global operations.
• Experience supporting mergers, acquisitions, financings, or reorganizations.
• Public company experience.
• Bachelor’s degree and/or a paralegal certificate.
• Experience with entity management systems, board portals, Slack, or AI-enabled productivity tools.
