About the role
Responsibilities
- Manage the full lifecycle of U.S. entity administration, including formations, qualifications, dissolutions, and annual reports
- Maintain accurate corporate records, minute books, stock ledgers, and entity management databases
- Support board and shareholder governance, including preparing meeting materials and drafting resolutions
- Assist with new entity incorporations, international subsidiary formations, and post-incorporation operational matters
- Support international entities with local filings, KYC requests, and cross-border documentation
- Coordinate signatory authority, powers of attorney, and corporate approvals
- Respond to diligence requests for financings, acquisitions, and audits
- Own and improve entity management tools, workflows, and internal knowledge resources
- Partner with cross-functional teams on equity administration, tax, and compliance
Requirements
- At least 8 years of relevant experience in a paralegal role within a corporate legal department or law firm
- Proven expertise in U.S. entity management and corporate compliance
- Strong experience with entity structuring, including incorporations, dissolutions, and mergers
- Highly organized and able to manage high volumes of simultaneous matters
- Proactive self-starter capable of operating independently
- Excellent written and verbal communication skills
- Ability to work in a fast-paced environment with shifting priorities
- High judgment regarding confidentiality and sensitive information
Preferred Qualifications
- Experience supporting international entity management across EMEA, APAC, and LATAM
- Experience at a venture-backed technology company
- Familiarity with Diligent Entities, Ironclad, or similar management platforms
- Experience coordinating with outside counsel across multiple jurisdictions
- ABA Paralegal certificate
- Valid State of California Notary Public License
