Corporate Governance & Securities Paralegal

Responsibilities

• Manage corporate securities administration, including equity plans, share issuances, transfers, and cancellations
• Maintain accurate capitalization tables and securities records
• Prepare, review, and file required regulatory and securities filings (e.g., SEC filings and stock exchange disclosures)
• Ensure compliance with applicable securities laws, regulations, and corporate governance standards
• Support corporate transactions such as mergers, acquisitions, financings, and reorganizations
• Coordinate with legal counsel, transfer agents, auditors, regulators, and financial institutions
• Advise internal stakeholders on securities-related policies, procedures, and best practices
• Monitor changes in securities regulations and assess organizational impact
• Assist with board, shareholder, and committee matters related to equity and securities

Requirements

• Bachelor’s degree in Law, Finance, Business Administration, Accounting, or a related field
• 5+ years of experience in corporate securities, corporate governance, legal, or compliance roles
• Strong knowledge of securities laws, regulatory frameworks, and equity administration
• Experience with capitalization table management and equity management platforms
• High attention to detail with strong analytical and organizational skills
• Excellent written and verbal communication skills

Preferred Qualifications

• Professional certification in corporate governance, securities, or compliance
• Experience working in publicly listed or highly regulated organizations
• Familiarity with international securities regulations
