Corporate Development Counsel

Responsibilities

• Structure, draft, and negotiate key transaction documents for acquisitions, divestitures, and strategic investments
• Lead and manage the end-to-end legal due diligence process
• Serve as the primary legal advisor to the Corporate Development team and other business leaders
• Partner with stakeholders across Finance, Tax, HR, Operations, and Product
• Manage and oversee outside counsel on M&A and investment transactions
• Support post-closing integration efforts
• Help develop and refine the M&A playbook, including templates and checklists

Requirements

• Juris Doctor (J.D.) from an accredited law school
• Active membership in at least one state bar
• At least 4 years of relevant legal experience with a focus on M&A
• Hands-on experience drafting and negotiating complex transaction agreements
• Expertise in corporate law, contract law, and securities law

Preferred Qualifications

• Experience at a law firm in an M&A/Corporate practice
• In-house experience at a technology or high-growth company
• Familiarity with contract lifecycle management tools or legal technology
