Corporate Counsel

Responsibilities

• Execute legal strategy for the company and its affiliates, including commercial contracting and intercompany transactions
• Ensure compliance with regulatory requirements, including international expansion and technology export laws
• Draft and negotiate transactional matters such as Letters of Intent, Joint Venture agreements, and vendor contracts
• Research and anticipate legal issues impacting the company and prepare reports for senior leadership
• Provide counsel on risk management, governance, finance, employment, and policy matters
• Assist in the management of outside counsel and support trial preparations as needed
• Spearhead internal education initiatives regarding contracting and risk mitigation

Requirements

• Juris Doctor from an ABA accredited law school
• Active US law license in good standing
• 5 years of relevant legal experience, including a mix of large law firm and in-house experience
• Strong understanding of SaaS business models and related legal issues
• Experience in the software or healthcare technology industry
• Proven ability to identify legal issues and present concise recommendations to leadership

Preferred Qualifications

• Pennsylvania Bar admission
