Corporate Counsel

Responsibilities

• Support compliance with SEC and NASDAQ rules and regulations, including filing 10-Ks/Qs, 8-Ks, Section 16 filings, proxy statements, and registration statements
• Partner with the clinical development team to support clinical trial start-up and maintenance
• Draft, review, and negotiate clinical trial agreements and patient informed consent forms
• Review and negotiate various agreements supporting research and development programs
• Collaborate with investor relations on external communications, including press releases and investor presentations
• Provide transactional support for financing activities and strategic external arrangements
• Advise on equity plan administration and corporate governance matters
• Oversee compliance policies such as the Code of Business Conduct and Ethics and Insider Trading Policy

Requirements

• Minimum of 4 years of corporate legal experience in a high-growth biopharmaceutical company or a nationally recognized law firm
• J.D. from an accredited law school
• Active membership in at least one state bar
• Expertise in corporate law, SEC/NASDAQ regulations, corporate governance, and corporate finance
• Excellent written and oral communication skills with strong attention to detail

Preferred Qualifications

• Experience reviewing, drafting, and negotiating contracts within the life sciences industry
