Corporate Counsel

Responsibilities

• Draft, review, negotiate, and manage commercial agreements including sales, service, offtake, and procurement contracts
• Partner with commercial and sales teams to improve contracting workflows
• Support supply chain and procurement initiatives for manufacturing and equipment
• Assist with performance guarantees, commissioning terms, and warranties
• Support corporate governance, fundraising efforts, and board materials
• Provide legal guidance on new business initiatives and partnerships
• Establish internal legal processes, policies, and operational protocols
• Support intellectual property matters including patents and trademarks
• Provide guidance on regulatory and compliance matters in the energy storage industry

Requirements

• J.D. from an accredited law school
• Active membership in the California state bar
• 5+ years of legal experience (law firm or in-house)
• Experience drafting and negotiating transaction lifecycles
• Strong understanding of corporate law and commercial contracting
• Ability to manage multiple priorities in a fast-paced environment
• Strong communication skills for cross-functional partnership

Preferred Qualifications

• Prior in-house counsel experience in energy, infrastructure, climate tech, or manufacturing
• Experience working with engineering or product organizations
• Experience supporting fundraising, M&A, and corporate governance
• Knowledge of California and Texas energy markets
