Corporate Counsel

Responsibilities

• Review, draft, and negotiate a wide range of commercial agreements, including NDAs, software licenses, joint development agreements, and vendor contracts.
• Provide legal support to various departments to ensure contracts comply with internal policies and risk tolerances.
• Assist in managing the company’s intellectual property portfolio, including trademarks, patents, copyrights, and trade secrets.
• Serve as a legal advisor on regulatory compliance matters and provide relevant training to staff.
• Support strategic transactions such as M&A, financing, and equity matters.
• Assist in managing litigation, disputes, and global legal entity management.
• Identify compliance vulnerabilities and develop corrective action plans.

Requirements

• Juris Doctorate from an ABA-accredited law school.
• Valid license to practice law in New York State (or admission to another state with the ability to obtain NY in-house registration).
• 3-5+ years of law firm or in-house legal experience.
• High degree of proficiency with Microsoft Office (Word, Excel, PowerPoint, and Outlook).
• Strong organizational, communication, and multi-tasking skills.

• Experience working in or with clients in the manufacturing industry.
