Corporate Counsel - Commercial

Responsibilities

• Support sales and procurement teams by drafting and negotiating technology transactions, including master subscription agreements, data processing agreements, order forms, and NDAs
• Negotiate alliance agreements with third-party partners and cloud infrastructure agreements (e.g., AWS, Azure, GCP)
• Conduct legal and regulatory due diligence in international jurisdictions for new technology agreements
• Collaborate with cross-functional teams to ensure agreements align with internal corporate policies and optimize business support
• Provide legal and commercial support regarding existing contracts and assist in resolving potential disputes
• Offer sound, practical legal and business guidance to internal stakeholders

Requirements

• JD from an accredited law school
• Membership in at least one state bar and eligibility to practice in California
• 7+ years of relevant legal experience preferred
• Experience working in a fast-paced technology company, specifically within SaaS or Enterprise software
• Strong organizational and project management skills
• Ability to quickly learn and understand new technologies
