Responsibilities

• Review transaction documents and advise on legal issues across multiple tiers of financing including tax equity and project finance
• Draft and maintain corporate governance documents, Board resolutions, and fund-level approvals
• Oversee company registrations, entity maintenance, and annual reporting
• Support investor and lender relationships including KYC and diligence requests
• Identify and implement process improvements to scale legal operations
• Support compliance with external and internal regulations and guidelines
• Leverage AI tools to accelerate contract review and document drafting

Requirements

• JD from an accredited law school
• Licensed to practice law in at least one US jurisdiction (preference for NY or NC)
• At least 3 years of law firm transactional experience
• Experience in corporate, finance, project finance, renewable energy, or tax equity
• Proficiency in Microsoft Office Suite, DealVDR, Teams, and Google Apps

Preferred Qualifications

• Experience with renewable energy or tax equity transactions
• Interest in using AI-enabled legal software to improve workflows
