Corporate Counsel

Responsibilities

• Support corporate governance matters, including board materials, resolutions, and corporate records
• Assist with strategic transactions, M&A, investments, and financing
• Manage subsidiary governance and entity compliance across domestic and international jurisdictions
• Manage equity-related matters, including cap table coordination and 409A processes
• Assist with corporate policies, compliance initiatives, and risk management
• Partner cross-functionally with Finance, People, and Operations teams
• Work with outside counsel on employment, compliance, and transactional matters
• Build and improve legal templates, playbooks, and operational workflows

Requirements

• J.D. from an accredited law school
• Active membership in at least one U.S. state bar
• 4–7 years of relevant legal experience at a top law firm
• Strong foundation in corporate law and commercial transactions
• Experience with strategic transactions, financing, and M&A
• Exceptional drafting, negotiation, and project management skills
• Ability to operate independently in a fast-paced environment

Preferred Qualifications

• Additional in-house legal experience
• Interest in infrastructure, AI, or emerging technologies
