Corporate Associate

Responsibilities

• Handle substantive corporate and transactional matters, including M&A (buy-side and sell-side), entity formation, governance, financing, and restructuring
• Draft term sheets, purchase agreements, seller notes, board resolutions, and employment agreements
• Conduct due diligence reviews of data rooms and prepare comprehensive due diligence reports
• Manage deal execution and assist with post-closing matters such as purchase price adjustments and board training materials
• Provide day-to-day general client counseling and support the firm's ESOP practice

Requirements

• 4-6 years of experience in corporate law
• Proven experience in M&A and complex business transactions
• Strong drafting and negotiation skills
• Sound business judgment and the ability to work in a collaborative, fast-paced environment

Preferred Qualifications

• Experience with ESOP transactions
