Contracting Counsel Manager

Responsibilities

• Lead, structure, draft, and negotiate complex client transactions including master services agreements, SaaS, outsourcing, and data transfer agreements.
• Advise senior company leadership on legal risks and market trends associated with high-value transactions.
• Counsel, guide, and support junior legal professionals within the Contracting Legal Professionals organization.
• Develop subject matter expertise and participate in creating internal guidelines, toolkits, and legal knowledge capital.
• Stay abreast of industry developments to incorporate relevant information into company transactional practices.

Requirements

• Juris Doctor (JD) degree.
• Licensed to practice law in at least one US jurisdiction.
• Minimum of 6 years of transactional experience in digital, consulting, systems integration, or outsourcing sectors.
• Experience working in a law firm or a fast-paced corporate legal/transaction group.

Preferred Qualifications

• Minimum of 3 years of experience negotiating Intellectual Property and Data Privacy issues.
• Proven ability to manage a large volume of transactions independently.
• Strong executive presence and excellent oral and written communication skills.
• Experience negotiating and drafting technology-based agreements.
• Understanding of principle-based negotiation strategy and tactics.
