Company Secretary

Responsibilities

• Ensure comprehensive secretarial compliance and expertise in the Companies Act, 2013/1956
• Prepare secretarial compliance for group companies including Private Limited and LLPs
• Draft notices, minutes of meetings, and other relevant corporate documents
• Conduct Board Meetings, Committee Meetings, AGMs, EGMs, Postal Ballots, and virtual AGMs
• Represent the company before Civil Courts, Criminal Courts, IPAB, NCLT, High Courts, and government bodies
• Draft and vet agreements, legal letters, and contracts such as Bank Guarantees, MOUs, JV agreements, and NDAs
• Assist advocates with the preparation of legal notices and commercial suits
• Manage practical and legal knowledge of trademarks, patents, and designs
• Liaise with banks, financial institutions, and government entities
• Handle RBI compliance related to Wholly Owned Subsidiaries (WOS) both in India and abroad
• Oversee Corporate Social Responsibility (CSR) projects

Requirements

• Qualified Company Secretary (CS)
• 2 to 8 years of post-qualification experience
• In-depth understanding of corporate laws and governance
• Experience with LLP regulations and basic SEZ laws
• Strong drafting, negotiation, and communication skills
• Ability to manage multiple stakeholders effectively

Preferred Qualifications

• Experience with the listing process and IPO preparation
• Knowledge of government policies related to startups and MSMEs
