Commercial Counsel

Responsibilities

• Review, draft, and negotiate a diverse range of commercial agreements, including technology, cloud services, and marketing services
• Manage corporate and business governance processes, including board communications and record-keeping
• Develop and manage organizational policies to ensure compliance with relevant federal, provincial, and state laws
• Provide proactive legal guidance to business partners to mitigate risks and support cross-functional initiatives
• Manage and protect the company's intellectual property portfolio
• Identify and evaluate potential legal risks and advise on mitigation strategies
• Support various corporate topics including M&A, real estate, and employment matters

Requirements

• Qualified lawyer and member in good standing with a provincial or state bar (BC or California preferred)
• 5+ years of corporate and commercial experience, ideally in an in-house role
• Strong communication skills with the ability to provide concise, professional advice to all levels of the organization
• Proven ability to manage multiple projects and complex deadlines independently
• Exceptional judgment and the ability to balance legal risk with business objectives
• Experience advising cross-functional teams on operational and strategic matters

Preferred Qualifications

• Familiarity with the entertainment, gaming, or technology sectors
• Understanding of digital products, licensing, data governance, and regulatory considerations
• Exposure to emerging issues related to artificial intelligence and digital platforms
