Commercial Counsel

Responsibilities

• Partner with sales teams and cross-functional stakeholders including Finance, Deal Desk, Privacy, and Security to support high-velocity deal cycles in AMER and APJ regions
• Draft, negotiate, and advise on outbound commercial agreements and strategic partnership agreements, including SaaS, DPAs, BAAs, and AI terms
• Act as a trusted legal advisor to sales teams, providing practical guidance and driving transaction structures aligned with business objectives
• Train sales teams on common commercial issues and best practices
• Develop and scale commercial legal best practices, including legal playbooks and scalable frameworks
• Stay current on emerging global laws, regulatory shifts, and judicial decisions relevant to the business
• Support and manage high-impact ad hoc legal projects

Requirements

• J.D. degree from an accredited institution
• Active membership in good standing with a U.S. state bar association
• 4+ years of legal practice experience, including significant in-house experience at a technology company
• Experience supporting sales organizations with complex, high-velocity outbound revenue transactions and SaaS agreements
• Proven background collaborating cross-functionally with Sales, Finance, Privacy, and Security teams
• Excellent legal and business judgment with the ability to translate legal nuances for non-legal stakeholders
• Proactive, solutions-oriented, and able to thrive in ambiguity
