Commercial Counsel

Responsibilities

• Lead the drafting, structuring, and negotiating of complex commercial and procurement contracts with hardware suppliers, automotive OEMs, and AV ecosystem partners
• Navigate complex flow-down obligations between OEM customer agreements and sub-tier supplier contracts
• Act as a trusted partner to internal business stakeholders on legal matters critical to business growth
• Collaborate cross-functionally with Sales, Finance, Product, and Engineering to lead key initiatives
• Support activities related to IP, Product, and Compliance as needed
• Create and maintain legal forms, playbooks, and training to improve execution speed and scalability

Requirements

• 5+ years of experience in legal roles
• Proven experience structuring, drafting, and negotiating complex commercial agreements (e.g., software licenses, manufacturing, supply agreements, and strategic collaborations)
• J.D. degree from an accredited law school
• Active membership in at least one state bar

Preferred Qualifications

• Combination of law firm and in-house legal experience
• Experience negotiating IP and material contract representations in stock purchase, merger, or asset purchase agreements
• Familiarity with the automotive industry, supply chain, or tier-1 supplier dynamics
• Degree in computer science or engineering
