Commercial Contracts Counsel

Responsibilities

• Review, redline, and negotiate inbound agreements from suppliers, vendors, manufacturers, and logistics partners
• Draft and negotiate outbound customer agreements including Master Sales Agreements (MSAs) and service agreements
• Advise internal stakeholders on contractual risk and negotiation strategies
• Review key commercial terms such as warranties, indemnification, and intellectual property rights
• Identify legal and operational risks and recommend practical solutions
• Assist with the development of contract templates and negotiation playbooks

Requirements

• Juris Doctor (JD) degree
• Minimum of 5 years of experience drafting and negotiating commercial agreements
• Demonstrated experience with sales, procurement, and supplier agreements
• Experience supporting biotechnology, life sciences, diagnostics, or medical device companies
• Prior experience in in-house legal, commercial counsel, or contract management roles
• Strong understanding of commercial contracting principles and risk allocation
