Associate - Venture Capital

Responsibilities

• Draft, review, and negotiate venture financing documents, including term sheets and stock purchase agreements
• Advise early-stage companies and investors on corporate governance, securities compliance, and general corporate matters
• Oversee equity compensation programs, including option grants, RSUs, and ESPPs
• Support due diligence for new investments and follow-on financings
• Manage cap tables, equity issuances, and stockholder communications using tools such as Carta
• Collaborate with senior partners, investment teams, and company executives
• Stay current on venture capital market trends and corporate law developments

Requirements

• 3–4 years of venture capital experience
• Experience drafting and negotiating term sheets and stock purchase agreements
• Strong knowledge of SAFEs and Convertible Notes
• Familiarity with NVCA documents and market precedence
• Experience using Carta for cap table management
