Associate Legal Counsel

Responsibilities

• Advise on a broad range of investment banking and capital markets transactions across multiple product groups
• Provide coverage for Equity Capital Markets, Debt Capital Markets, Mergers & Acquisitions, SPACs, and Corporate Services
• Handle engagement letter drafting, negotiation, transaction structuring, NDAs, and fairness opinions
• Collaborate with investment banking management and internal compliance
• Supervise outside legal counsel and act as a subject matter expert for internal business groups

Requirements

• Juris Doctor degree
• Admitted in good standing to the NY or CA bar
• 5-10 years of relevant experience at a leading law firm or financial institution
• Focus on capital markets and securities practice
• Significant experience with direct client interaction with financial services clients
• Familiarity with broker-dealer regulatory matters
• Strong drafting, negotiation, and analytical skills
• Must be authorized to work full time in the U.S. without sponsorship
