Associate General Counsel, Strategic Transactions

Responsibilities

• Lead legal support for mergers, acquisitions, divestitures, joint ventures, strategic partnerships, and minority investments
• Oversee all phases of transaction execution including structuring, diligence, negotiation, and closing
• Support transaction-related financing activities such as acquisition financings, project financings, and debt facilities
• Partner with Finance, Treasury, Tax, and Development teams to ensure seamless execution
• Draft and negotiate complex commercial and transaction-related agreements
• Manage outside counsel and specialized advisors
• Serve as a trusted advisor to the Chief Legal Officer and senior leadership on transaction strategy and risk assessment

Requirements

• Significant experience leading complex M&A transactions and joint ventures
• Experience supporting sophisticated financing transactions and capital markets
• Ability to navigate complex commercial, regulatory, and structural issues
• Proven ability to work effectively across legal, finance, tax, and executive teams
• Ability to operate independently in a fast-paced, execution-oriented environment
