Associate General Counsel, Corporate and Securities

Responsibilities

• Own the SEC reporting lifecycle including 10-K, 10-Q, 8-K, proxy, and related securities filings
• Partner with the Chief Legal Officer and Board of Directors on governance and disclosure
• Manage governance processes, documentation, and Nasdaq compliance
• Lead legal support for capital markets, financing, and strategic corporate transactions
• Partner cross-functionally with Finance, Investor Relations, HR, Tax, and Treasury on subsidiary management and equity compensation

Requirements

• Substantial experience advising public companies on SEC reporting and disclosure obligations
• Expertise in corporate governance and capital markets transactions
• Experience with securities law matters
• Ability to operate independently in a fast-paced environment
• Strong business and legal judgment
• Top-tier law firm training combined with in-house experience
