Associate Counsel, Corporate

Responsibilities

• Serve as a key driver of corporate initiatives including M&A, divestitures, strategic investments, and joint ventures
• Partner with Corporate Development and Treasury teams to advise on novel corporate legal issues and risks
• Draft and negotiate NDAs, LOIs, term sheets, and definitive transaction agreements
• Drive diligence processes and shape legal processes to enable business scaling
• Assist other teams with projects on an as-needed basis

Requirements

• 4+ years of experience in corporate and securities law with an emphasis on M&A
• Experience at a top-tier law firm is required
• Degree from a top-tier law school
• Active and in good standing with a State Bar (California preferred)
• Strong foundation in negotiation, process management, and strategy for complex M&A and financing transactions
• Excellent problem-solving, communication, and interpersonal skills
• Ability to manage complex workloads and multiple stakeholder demands

Preferred Qualifications

• In-house experience at a public company
• Cross-border M&A experience
• Experience assisting with integration processes and strategy
