Associate (Corporate and M&A)

Responsibilities

• Actively participate in the administration of corporate structures
• Collaborate closely with potential investment targets and partners to execute and close investment deals
• Manage deal structuring, conduct legal due diligence, and lead negotiations regarding investment terms
• Prepare and execute transactional documents for M&A and venture investments, including subscription agreements, SPAs, SHAs, and convertible loan agreements
• Communicate with business partners, law firms, and service providers across various jurisdictions
• Support legal compliance within KYC and AML frameworks
• Assist Genesis companies and projects with ongoing operational legal matters

Requirements

• Fluent English proficiency, including the ability to draft complex legal documentation (IELTS/TOEFL certification is a plus)
• Proven experience in corporate, financial, tax, or transactional law within an international law firm or Big Four firm
• Top-tier law degree from a leading university
• Strong attention to detail and the ability to learn quickly
• Excellent interpersonal, written, and oral communication skills
• Ability to work effectively in high-pressure, stressful situations

Preferred Qualifications

• Experience in M&A negotiations and venture investment documentation across various funding stages
• Experience working with complex corporate structures
• Participation in moot court competitions
• Ability to provide practical business conclusions and demonstrate strategic thinking
