Associate - Business

Responsibilities

• Support and help lead underwriting workstreams in transactions representing underwriters placing RWI and other transactional risk products
• Review and advise on transaction documents, including purchase agreements, membership interest purchase agreements, and stock purchase agreements
• Assess insurance risks by reviewing and advising on related ancillary documents
• Translate corporate and real estate legal diligence into findings focused on actual dollar risks from an insurance underwriting perspective

Requirements

• 3–6 years of legal experience
• Proven experience in M&A transactions
• Experience with mid-to-large cap transactions
• Knowledge of RWI or other transactional risk products

Preferred Qualifications

• Experience in transactions involving the sale of real estate portfolios (e.g., REIT M&A)
• Experience in industries with significant real property holdings, such as oil and gas or renewable energy
