Responsibilities

• Serve as outside general counsel to early-stage and growth companies, triaging day-to-day legal questions and delivering practical guidance.
• Form and structure new entities, draft founder documents, and set up cap tables.
• Lead venture financings end-to-end, including drafting and negotiating SAFEs, convertible notes, and NVCA equity rounds.
• Manage debt transactions for venture-backed companies, including term sheets and security agreements.
• Own closing execution, including diligence, closing checklists, and data room management.
• Draft, review, and negotiate commercial contracts such as SaaS subscriptions, MSAs, SOWs, and NDAs.
• Advise on corporate governance, compliance, and equity plan administration.
• Proactively manage projects and client communications in a remote-first environment.

Requirements

• J.D. from a top law school with strong academic credentials.
• Membership in the New York state bar.
• 2+ years of experience with a top national law firm or in-house with a technology company.
• Strong project management, communication, and analytical skills.
• Ability to work independently in a remote work environment.
