Assistant General Counsel

Responsibilities

• Review, negotiate, and draft client engagement letters and subscription agreements
• Manage vendor agreements and various other types of contracts
• Support corporate governance matters, including board and committee meeting preparation
• Collaborate with Information Security on data privacy and cybersecurity implementation
• Advise employees on the applicability of regulatory frameworks and laws
• Partner with the Compliance Department on SEC matters and examinations
• Assist with protecting intellectual property, including trademark and copyright management

Requirements

• JD degree and admission to the New York bar
• 6-10+ years of legal experience
• Strong background in reviewing, drafting, and negotiating agreements
• Knowledge of securities laws and experience in highly regulated environments
• Strong research, analysis, and project management skills
• Excellent verbal and written communication skills

Preferred Qualifications

• Experience in structured finance, capital markets, or mergers and acquisitions
• Employment law experience
• Familiarity with Generative AI tools for research and productivity
