Assistant General Counsel

Responsibilities

• Draft, review, and negotiate a broad range of commercial contracts
• Lead legal structuring and negotiation for credit facilities, loan agreements, and financing arrangements
• Analyze complex contract terms to identify and mitigate legal, financial, and operational risks
• Ensure lending documentation complies with federal and state financial regulations
• Develop standardized contract templates and playbooks
• Advise internal stakeholders on legal rights, obligations, and contract interpretation
• Manage the contract lifecycle from request through execution and renewal
• Research and provide advice on local, state, and federal law compliance
• Assist with offensive and defensive litigation, including bankruptcy and contract disputes

Requirements

• JD with excellent academic and professional credentials
• Member in good standing of the New York, Virginia, or California bar (or eligible for admission)
• 5+ years of experience in financial services, corporate, regulatory, insolvency, or litigation
• Deep understanding of secured and unsecured lending, UCC filings, and debt recovery
• Strong negotiation and drafting skills
• Ability to manage multiple projects in a fast-paced environment
