About the role

Responsibilities

  • Manage corporate governance requirements for a portfolio of Group subsidiaries, including director appointments, resignations, and share capital changes.
  • Coordinate meetings by scheduling, preparing agendas, circulating papers, and producing high-quality minutes.
  • Maintain statutory registers using Diligent Entities and ensure all required filings are made with Companies House and global equivalents.
  • Assist with the financial year-end process, including drafting and reviewing subsidiary accounts.
  • Support transaction-based events such as acquisitions, disposals, and the incorporation or closure of subsidiaries.
  • Assist in maintaining the Group’s Corporate Governance Framework, including policies, procedures, and authorized signatory lists.
  • Adhere to operational risk frameworks and ensure compliance with FCA Code of Conduct and other global regulatory requirements.

Requirements

  • Significant experience in financial services, ideally within a listed company, large private group, or professional services firm.
  • Chartered Governance Institute qualification (qualified or part-qualified).
  • Strong understanding of corporate governance best practices and global subsidiary governance.
  • Proven experience working within a regulated environment and knowledge of associated risk and compliance requirements.
  • Excellent minute-taking and written communication skills.
  • High attention to detail and the ability to work in a fast-paced, high-volume environment.
