Asset Management Counsel

Responsibilities

• Draft, review and execute on fund formation documentation, including entity formation, governance, and subscription documentation
• Coordinate with external legal counsel and internal teams on legal diligence and execution of new investment opportunities
• Advise internal stakeholders on ongoing fund management, LPAC management, and fund liquidations
• Assist the Chief Compliance Officer on legal matters relating to fund formation and maintenance
• Support Venture Counsel in the diligence and execution of private venture investments
• Leverage AI tools to improve productivity and decision-making

Requirements

• 3-7 years of relevant experience in funds formation or asset management counsel
• Experience with the Investment Advisers Act of 1940 and SEC regulations
• Knowledge of fund structuring (onshore and offshore) and private funds, ETFs, or '40 Act funds
• Active membership in the NY state bar
• Interest in digital assets
• Strong written and oral communication skills

Preferred Qualifications

• Prior experience in the digital asset or crypto space
• Experience managing transactions involving complex financial structures and unique terms
