Asset Based Finance US Deal Counsel

Responsibilities

• Issue spotting, negotiating, and managing legal aspects of new investments for Asset Based Finance funds
• Structuring and implementing transaction structures in collaboration with Tax teams
• Executing deal term sheets, signings, and closings
• Overseeing legal aspects of existing investments, including restructurings and exits
• Negotiating and overseeing financing agreements, including fund credit facilities and securitizations
• Developing and systematizing legal processes and guidelines
• Advising on fund-related legal elements
• Reviewing third-party communications, marketing materials, and investor communications
• Negotiating contracts with advisors, service providers, and consultants
• Monitoring and managing outside counsel relationships

Requirements

• Strong analytical, drafting, and verbal communication skills
• Team player with high trust and integrity
• Roll up the sleeves attitude

Preferred Qualifications

• Law degree from a highly regarded American law school
• Member of the bar
• Minimum of seven years of corporate legal experience (law firm or in-house)
• Broad familiarity with complex financial transactions, M&A, capital markets, structured finance, tax, and securities law
• Experience leading and managing complex transactions including joint ventures and debt
• Experience with capital markets transactions and public filings/disclosures
• Facility with complex tax structures and cross-border transactions
• Experience with private investment funds
• Ability to balance and mitigate risk in a deal context
